ODL - additional work added to Deepsea Stavanger

Equinor has exercised a further well for the Deepsea Stavanger under the continued optionality mechanism provided for in the contract entered into by the parties in May 2021. Following the exercising of this well, which has an estimated duration of 120 days, the Deepsea Stavanger’s firm backlog now extends into Q4 2023. Equinor has the opportunity to exercise further wells under the continued optionality mechanism.

The day rate is similar to the current contract up to 1st May 2023 from which time there is an increase if certain CO2 targets have been achieved. A notable performance incentive rate in addition shall apply when wells are delivered safely and ahead of target

ODL - Contract Signed for Hercules

Odfjell Drilling Ltd, (“Odfjell Drilling”), is pleased to note the signing of a contract between ExxonMobil Canada Ltd (“ExxonMobil”) and SFL Corporation Ltd (“SFL”) for the Odfjell Drilling managed 6th generation semi-submersible Hercules (the “Contract”).

The Contract is expected to commence in Q2 2023 and has a firm duration of approximately 135 days, with an extension option for approximately 60 days.

Odfjell Drilling announced in May 2022 that it had agreed with SFL to provide marketing and management services for the Hercules. Today’s Contract is the first to be signed since entering the agreement with SFL. Hercules is expected to return to Norway in December 2022 following which Odfjell Drilling will takeover management of the rig on SFL’s behalf. The rig will undergo a scheduled special periodic survey in Norway before mobilisation to Canada.

Odfjell Drilling: Repurchase of preference shares

Further to the announcement on 27 April 2018 by Odfjell Drilling Ltd (“Odfjell Drilling” or the “Company”) the Company has today repurchased the preference shares (the “Repurchase”) from Akastor ASA (“Akastor”).

The preference shares have been acquired for cash at par value, for approximately USD 95 million including accrued dividends. Warrants held by Akastor are not part of the transaction and will remain with Akastor.

The Repurchase has been fully financed by way of a new direct loan of USD 95 million, repayable in monthly instalments starting in 2025 and with a final maturity on 30 June 2026.

As per the terms of the Repurchase, approximately USD 75 million has been settled in cash, with a further USD 20 million to be settled pursuant to a seller’s credit agreement with a maturity date 31 July 2024. As a result of the transaction, Odfjell Drilling’s interest-bearing debt has increased with approximately USD 83 million.

ODL - Major Shareholder Disclosure Notification and Notification of Transaction by Closely Associated Person

Odfjell Partners Ltd (“OPL”) has resolved to demerge and as a consequence OPL’s shareholding in Odfjell Drilling Ltd (“ODL”) will be transferred to Odfjell Partners Holding Ltd (“OPHL”). The current shareholders in OPL, being Helene Odfjell and certain of her closely related persons each holds the same number of shares in OPHL as they hold in OPL today. Consequently, there will be no changes to the indirect shareholders in ODL as result of the transfer of the shares in ODL from OPL to OPHL.

The creditor notice period for the demerger and subsequent liquidation of OPL lapsed today and there are no outstanding conditions for completion of the transfer of the shares from OPL to OPHL. The actual transfer of shares will take place as soon as possible after OPHL has opened a securities account with the Norwegian CSD, Euronext Securities (“VPS”).

Following the transfer of the shares, OPHL will hold 142,952,381 shares in ODL, equal to 60.37 % of the shares and votes in ODL, while OPL will not hold any shares or rights to shares in ODL.

Oslo Børs, in its capacity as takeover supervisory authority, has resolved to grant an exemption pursuant to the Norwegian Securities Trading Act section 6-2 (3) for the transfer of shares in ODL from OPL to OPHL.

ODL – Further Extension of Neptune Energy Norge contract

Odfjell Drilling Ltd (“Odfjell Drilling”) is pleased to announce that on behalf of CIMC OFFSHORE AS, the Company has agreed to extend the contract with Neptune Energy Norge for the use of the drilling rig Deepsea Yantai to drill two further firm wells in Norway.

The scope of the work is estimated to take 60 days and is scheduled to commence in direct continuation of the two wells contracted with Neptune Energy Norge, as noted in the Company’s announcement on 11 October 2022.

ODL – Multi-Country Drilling Contract Agreed for Deepsea Mira

Odfjell Drilling Ltd (“Odfjell Drilling” or the “Company”) is pleased to note the announcement made by Northern Ocean Ltd (“NOL”), which states that the Company, on behalf of NOL, has agreed with TotalEnergies a multi-country drilling contract for the Deepsea Mira outside the Norwegian Continental Shelf.

Initially commencing in Namibia, the contract is expected to begin in the middle of Q2 2023 and has an estimated firm duration of 300 days plus two options of 180 days and 90 days, respectively.

As a reminder to shareholders, as per the announcement on 23 December 2021, Odfjell Drilling has agreed with NOL to provide marketing and management services for the Mira and has already begun reactivation activities and mobilisation preparation in anticipation of a contract being signed.

Odfjell Drilling Ltd (“Odfjell Drilling”) is pleased to announce that it has extended its Alliance Agreement (the “Alliance”) with Aker BP ASA (“Aker BP”) and Halliburton AS (“Halliburton”) for a further 5 years.

The Alliance with its “one for all, all for one” collaboration model, has the objective of executing drilling and well projects with close cooperation between the members of the Alliance; ensuring greater value for all parties through common incentivised goals. The Alliance will result in the development and use of new technologies to automate and digitalise drilling operations, supporting the Alliance’s combined goals of improving safety, increasing efficiency and reducing the carbon footprint of the wells drilled.

Odfjell Drilling has two semi-submersibles contracted to Aker BP; the Deepsea Nordkapp, which is currently operating with Aker BP, and the Deepsea Stavanger, which is due to commence operations with Aker BP in early 2025. It is expected that both units will operate under the renewed Alliance model subject to approval from the respective licenses.
