ODL - additional work added to Deepsea Stavanger Equinor Contract

Equinor has exercised further work for the Deepsea Stavanger under the continued optionality mechanism provided for in the contract entered into by the parties in May 2021. Following this addition the Deepsea Stavanger now has six (6) remaining wells to be drilled which are expected to occupy the rig into Q1 2023. Equinor has the opportunity to exercise further wells under the continued optionality mechanism.

The day rate is similar to the current contract and a notable performance incentive rate in addition shall apply when wells are delivered safely and ahead of target. Integrated services are provided through the contract and compensated separately.

ODL - Implementation of 2022 Employee Long-term Incentive Plan

Odfjell Drilling Ltd (the “Company”) announces that the 2022 long term incentive plan, has now been approved by the Board of Directors and implemented by allocating options to certain of its employees.

The basis for the awards is, amongst other, the recipients’ position in the Company and a review on the individual participant’s performance prior to the award. Any options awarded will, subject to the participant’s continued employment with the Company (or a subsidiary), be settled 5 years after grant.

Delivery of shares by exercising the options will take place from the Company’s pool of treasury shares or by issuing additional shares within the Company’s authorised share capital, or if an insufficient number of treasury shares exist, it will be settled by cash payment of an equivalent value.

The purpose of the long-term incentive plan is to further align the interests of the Company, its subsidiaries and its shareholders with the interests of employees who can contribute materially to the success and profitability of the Company. Such awards will recognize and reward performance and individual contributions and give participants in the plan an interest in the Company parallel to that of the shareholders, thus enhancing the proprietary and personal interest in the Company’s continued success and progress.

The Board of Directors has allocated options according to the plan to the following primary insiders in the Company, each as further described in the attached transaction forms:

Kjetil Gjersdal, CEO, has been awarded 750,000 options in the Company.
Frode Skage Syslak, CFO, has been awarded 400,000 options in the Company.

Adding significant order backlog with five-year firm contract award in Norway

Deepsea Stavanger has been awarded a five-year firm contract with Aker BP ASA for drilling programs scheduled to commence early 2025.

The day rates for the contract will be market based, within a pre-agreed range. Day rate to be set by two brokers nine months prior to each calendar year.

The base contract value is in the range of USD 620 million to USD 730 million, where the ceiling of the day rate range shall be adjusted based on an inflation adjustment formula starting from June 2023.
In addition to the market based day rates, Aker BP shall pay performance and fuel savings incentive bonuses.
The contract award is subject to license partner approval and Norwegian governmental approvals of Plan for Development and Operation (PDO) of planned projects.

Deepsea Bollsta secures work with Shell in Namibia

Reference is made to the stock exchange notice made by Northern Ocean Ltd (“NOL”) today. Odfjell Drilling is pleased to announce that on behalf of NOL, we have agreed with Shell a drilling contract for Deepsea Bollsta in Namibia.

The contract is expected to commence in the middle of Q4 2022 and has an estimated firm duration of twelve months plus one six-month option. Odfjell Drilling will immediately begin reactivation activities and mobilisation preparation and looks forward to working with NOL and Shell to meet contract expectations safely and efficiently.
