Stillfront summons bondholders’ meeting to adjust bond terms to reflect current operational status
Stillfront Group AB (publ) (“Stillfront” or the “Company”) today announces that it is soliciting consent (the “Consent Solicitation”) from holders (the “Holders”) of its outstanding SEK 500,000,000 Senior Secured 2017/2020 Bonds with ISIN SE0009973050 (the “Bonds”) to make certain amendments to the terms and conditions of the Bonds (the “Terms and Conditions”).
To adapt the Terms and Conditions of the Bonds to the Company’s current operational status, Stillfront proposes to make amendments affecting its ability to incur further debt. The purpose of the proposed amendments is to provide the Company with increased flexibility to optimally manage working capital swings whilst maintaining flexibility to make small- and medium-sized acquisitions. At the same time, in order to provide the Holders with a balanced proposal, Stillfront is proposing certain concessions in line with the Company’s communicated financial targets, and is offering to pay all Holders a consent fee of 0.075% of the outstanding nominal amount of the Bonds conditional upon the proposed amendments being approved. The Consent Solicitation will be made subject to the terms set out in the notice of written resolution issued by the company on May 22, 2018 (the “Notice of Written Resolution”) and the full details of the proposed amendments are contained therein.
The Consent Solicitation is held through a written procedure (the “Written Procedure”) and responses in the Written Procedure must be received by 12.00 CET on June 8, 2018 in order to be taken into consideration. Holders eligible to cast votes in the Written Procedure are such Holders which are registered in Euroclear Sweden’s debt ledger for the Bonds on the voting record date May 28, 2018. The Notice of the Written Procedure, including complete proposals for resolutions and voting instructions, will be made available on the Company’s website (www.stillfront.com) and has also today been sent by the agent to directly registered owners and registered authorized nominees (Sw. förvaltare) of the Bonds as of May 18, 2018 in the debt ledger produced by Euroclear Sweden. Any individual or company whose Bonds are held by a nominee must contact such nominee to participate in the Written Procedure.
In order for the Consent Solicitation to be passed through the Written Procedure a quorum of at least twenty (20) percent of the adjusted nominal amount must be reached and responses representing a majority of at least sixty-six and two thirds (66 2/3) percent of the adjusted nominal amount must approve the Consent Solicitation.
Following confidential discussions with the Company, institutional Holders comprising over seventy (70) percent of the adjusted nominal amount of the Bonds have already provided Stillfront with irrevocable undertakings to vote in favour of the Consent Solicitation. The outcome of the Written Procedure is expected to be announced on or before June 8, 2018.

Stillfront kallar till obligationsinnehavarmöte i syfte att justera obligationsvillkor för att bättre reflektera bolagets nuvarande operationella position
Stillfront Group AB (publ) (“Stillfront” eller “Bolaget”) tillkännager idag att Bolaget efterfrågar godkännande (“Efterfrågan”) från innehavare (“Innehavarna”) av dess utestående SEK 500 000 000 seniora säkerställda 2017/2020 obligationer med ISIN SE0009973050 (“Obligationerna”) för att göra vissa justeringar av villkoren för obligationerna (“Obligationsvillkoren”).
För att anpassa Obligationsvillkoren till Bolagets nuvarande operationella status föreslår Stillfront att vissa justeringar görs av Bolagets möjligheter att uppta ytterligare skuldfinansiering. Syftet med de föreslagna ändringarna är att tillse att Bolaget får ökad flexibilitet för att optimera hantering av rörelsekapitalförändringar och bibehållen beredskap för små- och medelstora förvärv. Nettoomsättningen uppgick till 314,8 MSEK (motsvarande period föregående år: 250,5 MSEK), vilket innebär en ökning med 25,7%. Nettoomsättningen för Stillfront Group (exklusive Altigi GmbH) uppgick under första kvartalet 2017 till 30,0 MSEK, sålunda innebar nettoomsättningen första kvartalet 2018 en ökning med 949% jämfört med nettoomsättningen första kvartalet 2017.
EBITDA justerat för jämförelsestörande poster (se Not 5) uppgick till 106,3 MSEK (98,9), vilket innebär en ökning på 7,4%.
EBIT justerat för jämförelsestörande poster uppgick till 75,0 MSEK (77,6)
Resultatet efter finansiella poster uppgick till 67,7 MSEK (41,0 MSEK). Periodens resultat uppgick till 45,8 MSEK (26,2 MSEK).
Resultat per aktie före utspädning uppgick till 2,00 SEK (1,56 SEK). Resultat per aktie efter utspädning uppgick till 1,99 SEK (1,56 SEK).
Big Farm Mobile Harvest, Nida Harb III: Empire of Steel och War and Peace: Civil War genomgick global lansering under fjärde kvartalet 2017. Spelen har uppvisat mycket bra försäljning under delårsperioden med utmärkt tillväxt i Nida Harb III.
Empire: Millennium Wars lanserades globalt i slutet av delårsperioden. Empire: Millennium Wars är ett mobilt strategispel baserat på det mycket framgångsrika varumärket Goodgame Empire. Vidare lanserades Call of War för Android och iOS under delperioden liksom Conflict of Nations på Steam.
Förvärvet av Altigi GmbH slutfördes i januari 2018 varvid en emission om 16 868 623 aktier genomfördes samt obligationslån uppgående 390 MSEK gavs ut. Redovisningsmässigt betraktas förvärvet som ett omvänt förvärv, där Altigi GmbH är den redovisningsmässigt förvärvande enheten och Stillfront Group AB är den legala förvärvande enheten. Detta innebär att alla jämförelsesiffror till och med 31 december 2017 avser Altigi GmbH

Det nyligen förvärvade Goodgame levererade strax under förväntan då de äldre Empire-spelen växte något mindre än väntat.
Det skriver Pareto Securities i en snabbkommentar på tisdagsmorgonen.
Stillfronts nettoomsättning på 315 miljoner kronor i det första kvartalet kan jämföras med Paretos estimat på 313 miljoner. Det justerade ebitda-resultatet blev 106 miljoner kronor och här hade Pareto räknat med 108 miljoner.
Paretos köprekommendation och riktkurs på 228 kronor är under översyn. På måndagen stängde Stillfront i 247 kronor.

Det framgår av Finansinspektionens insynslista och bekräftas av Jörgen Larsson för Nyhetsbyrån Direkt.
Jörgen Larsson försäljning inbringade cirka 11 miljoner kronor. Sten Wrannes avyttring var värd cirka 5,1 miljoner kronor.
Jörgen Larsson lyfter fram att det finns, och har funnits, få tillfällen för insynspersoner i Stillfront att sälja aktier.
Det måste finnas en möjlighet även för grundare och bolagsledningen att köpa och sälja aktier. Vi ska investera i annat och gör en viss omfördelning av tillgångarna, säger Jörgen Larsson till Direkt.
Jag vill även betona att vi inte hade sålt en enda aktie sedan det grundades 2010, någon gång måste man få sälja på åtta år. Vi har större exponering nu än vad vi hade före noteringen då vi båda köpte aktier, fortsätter Jörgen Larsson.
Du säger att ni ska investera i annat - i vad?
Det kommer att jag berätta om det är relevant för allmänheten.
