“Q4 truly marks the beginning of a new chapter for Techstep. Throughout Q4, we
completed the heavy lifting required to reshape the company into a leaner, more
focused and more scalable organisation. Although the extraordinary nature of the
quarter impacted both revenues and profitability negatively, the structural
improvements we have now delivered position us strongly as we enter 2026.
The successful carve-out of the BCM unit was a key milestone, enabling sharper
focus of resources, expertise, and offerings. In parallel, significant
investments have been made in building a stronger technological backbone, which,
together with increased use of AI and automation, will deliver a unified
customer experience and significantly improve speed, scalability, and
operational excellence across Techstep. Decisive cost-base reductions are now
implemented through right-sizing and organizational restructuring. As the year
concluded, Techstep maintained strong commercial tailwinds, with a robust
pipeline and strengthening partnerships in Europe, alongside solid momentum in
the Nordics fueled by the managed healthcare rollout and mobile-first strategies
across several industries. Entering 2026, many foundational measures have been
completed to accelerate growth, improve margins, and realise the full potential

informed the committee that he has accepted to take on the role of CEO of iTeam,
a position which will require significant attention, and which may give rise to
potential conflicts of interest.

Together with the board, the nomination committee and the board have evaluated
alternative chairperson candidates and are pleased to propose Arild Hustad as
the new chairperson of the Company’s board of directors. The board and the
nomination committee wish to express their appreciation for Jacobs’ valuable
contributions to the Company’s development during his tenure as chairperson.
Hustad and Jacobs will collaborate to ensure a smooth transition period.

Arild Hustad is a Norwegian citizen living in Oslo, Norway. He is an experienced
business leader and investor with extensive experience from executive and board
positions in the technology and telecom sector. Hustad has previously held CEO
positions in Link Mobility Group ASA, Telecom Management Partner, Network Norway
and Tele2 Norway, where he was instrumental in building the company’s operations
before its acquisition by Telia in 2014. Hustad also has extensive experience
from Telenor’s national, international and African operations, as well as
British Telecom. Hustad holds a degree in Business & Management, an MBA and an
LLM.

The nomination committee considers Hustad’s profile highly relevant in light of
the Company’s ongoing strategic transformation towards more recurring, scalable
and profitable product offerings. Hustad brings significant experience in
strategic leadership, corporate governance and value creation in technology
companies, as well as expertise in business development, investment management,
digital transformation and capital markets.

Subject to being elected as the new chairperson, Hustad has, through his and his
wife’s wholly owned investment vehicle Arisona Holding AS (reg. no. 890 778
372), entered into an investment agreement with the Company for the subscription
of 458,715 new shares in the Company (the “COB Shares”) at a value of NOK 10.90
per share (corresponding to the closing stock price as of Friday 20 February
2026, being the day Hustad agreed to be nominated as the new chairperson of the
Company). The subscription of the COB Shares will be based on the “Kruse Smith”
model under which the COB Shares are to be subscribed at a price of NOK 2.18 per
share, corresponding to 20% of the market value of NOK 10.90 per share, with the
remaining 80% constituting a contingent deferred payment obligation as further
set out in the investment agreement.

The Company will convene for an extraordinary general meeting (the “EGM”) for
the approval of the above, including the election of Arild Hustad as new
chairperson of the board and the issuance of a board authorization to complete
the share capital increase for the COB Shares. The EGM will be held on 23 March
2026 at 15:00 CET at the Company’s offices at Brynsalléen 4, 0667 Oslo, Norway.

Håvard Haukdal as interim CFO, effective 1 May 2026.

Håvard Haukdal brings over two decades of strategic, operational and cross
-border financial leadership, including senior roles in PwC, Hafslund, Hydro
Energi, Norsk Hydro’s global Shared Services Center, and most recently as CFO of
Kyoto Group. His competences cover the full finance value chain, including
advanced reporting, process and system optimization, M&A support, capital
markets communication, and enterprise-wide governance and compliance frameworks.
This also includes leading finance transformations covering process, tools and
system optimization.

Håvard will commence his onboarding ahead of Ellen’s departure, ensuring an
orderly and efficient handover.

Hustad has, through Arisona Holding AS, undertaken to subscribe for 458,715
shares in the Company at a value of NOK 10.90 per share (corresponding to the
market price of the Company’s shares on 20 February 2026) (the “COB Shares”).
The purchase price payable for the COB Shares will be in two tranches of which
20% will be payable upon issuance of the COB Shares and with the remaining 80%
being contingent on the fulfilment of certain conditions as further described in
the investment agreement.

ERP transformation, establishing a unified, cloud-based, scalable SAP platform
across all business units and geographies.

The program marks asignificant operational milestone, enabling higher
automation, improved scalability and strengthened profitability over time. Five
legacy ERP systems have now been replaced with one consolidated cloud-based SAP
S/4HANA platform covering all core processes and all countries in which Techstep
operates.

The rollout was executed in phases: Techstep ASA was first entity to go-live
early 2025 together with our Finance Solutions company, followed by Poland in
summer 2025, Norway in January this year, and Sweden earlier this
week, completing the group-wide implementation.

The new platform replaces all legacy ERP solutions and consolidates core
functions including finance, leasing, subscription management, invoice
automation, analytics, and reporting. It provides a standardized and data-driven
operating model, providing a foundation for AI-enabled processes and future
growth initiatives.

In parallel, Techstep has modernised its integration architecture, reduced
system complexity, and strengthened its ability to deliver new digital services
faster and more efficiently.

As part of the transformation, Techstep has also launched a new digital commerce
platform (webshop), now live in Sweden and supporting more than 300 customers.
Rollout in Norway is planned for this summer and will support an additional 2000
customers and create a modern, scalable and unified user-experience across
markets.

The transformation has been delivered over approximately 18 months. Some cost
overruns related to the final phase of the rollout did occur and
were recognised as non-recurring operating expenses in Q4 2025 and will
be recognised in the same manner in Q1 2026.

Completion of the program is expected to deliver material cost savings and
efficiency gains over time through reduced system complexity,
increased automation and scalable operations.

Danske Bank for a RCF of NOK 45 million and overdraft facility of NOK 25 million

as we move forward

Solid commercial momentum continues

· Executed on key strategic wins signed in late 2025, with the new
comprehensive agreement with Sykehuspartner effective from 1 January 2026 and
ramp-up progressing despite some delivery phasing
· Prepared for large-scale public sector rollout in Spain following the
Generalitat de Catalunya engagement, with confirmed project start and first
recurring revenue accruals towards quarter-end, covering up to 80.000 devices
though our partner Vodafone Spain
· Progressed scaling of the partner ecosystem, with continued onboarding
activity across existing partners and improved commercial execution through a
more focused post-divestment organisation
· Maintained solid momentum in core software platforms, supported by continued
traction in Essentials and Lifecycle across both direct and indirect channels,
growing 17% y/y
· Sustained strong Nordic positioning in managed mobility services, with
ongoing focus on margin-led growth and increased share of higher-margin
recurring services
· Device deliveries commenced for Helse Midt-Norge from March and through Q2.
At the same time, we experience somewhat delaying rollout in the health sector,
but expect to pick up momentum during the next quarters

divestment
· Net gross profit at NOK 57.8 million, down 33% y/y, affected by BCM
divestment, termination of legacy Telecom Expense solution, one-off consultancy
in Q1 previous year and delays in health service deliveries
· EBITA adjusted at NOK -11.5 million affected by one-off costs related to ERP
implementation, largely offset by right-sizing of organization and realized cost
cuts

Techstep. Following the successful divestment completed on 2 February 2026, we

organisation. While the quarter was impacted by delays in Health service
deliveries and the termination of a legacy Telecom Expense contract, our
decisive cost-base reductions and efficiency initiatives are progressing as
planned.

At the same time, we maintained solid commercial momentum with strengthened
partnerships in Europe and continued traction in the Nordics - supported by our
mobile-first strategies across industries. With a stronger backbone powered by
AI and automation, and continued platform growth in Essentials (management &
security) and Lifecycle (asset lifecycle management), we are building the
foundation to accelerate growth, improve margins, and realise the full potential
