Zaptec ASA: Buy-back of own shares to meet obligations arising from share incentive programs

Sandnes, Norway, 14th January 2026:

Zaptec ASA (“Zaptec” or the “Company”) hereby discloses its intention to buy back up to 500,000 existing shares in the Company (the “Buy-Back”). The purpose of the Buy-Back is to meet obligations arising from the Company’s share incentive programs. Shares will be acquired on various trading venues and at or around market price on such trading venue. The Company has mandated ABG Sundal Collier ASA to assist with the Buy-Back. A stock announcement with details on the transactions will be disclosed upon completion of the Buy-Back.

Zaptec ASA: Completion of own shares buy-back and allocation of shares to primary insiders

Reference is made to the stock exchange announcement on 14 January 2025 regarding the intention of Zaptec ASA (“Zaptec” or the “Company”) to buy back own shares in the Company to meet obligations arising from the Company’s share incentive programs (the “Buy-Back”). The Buy-Back has now been completed. The Company acquired 500,000 shares at an average price of NOK 23.6520 per share. The allocations pursuant to the Company’s share incentive program have now been made.

CEO Kurt Østrem was allocated 105,117 shares. The shares were transferred to his fully owned company, Østrem Invest AS. Following the transaction, Østrem Invest AS owns 1,279,040 shares in the Company.

CFO & Deputy CEO Eirik Fjellså Hærem was allocated 66,808 shares. Following the transaction, Eirik Fjellså Hærem owns 225,977 shares in the Company.
