Acquisition of PV development project in Rome, Italy

Zenith Energy Ltd. (LSE: ZEN; OSE: ZENA; XSAT: ZENA SDR), the international energy production and development company, is pleased to announce the acquisition of an additional 5 MWp ground-mounted photovoltaic development project located within the Metropolitan City of Rome in the Lazio region of Italy (the “Rome PV Project”).

This acquisition further strengthens Zenith’s growing Italian renewable energy portfolio and represents another important step towards the Company’s stated objective of exceeding 200 MWp of solar development capacity by the end of 2026.

Highlights

• The Rome PV Project brings Zenith’s total solar development pipeline to 188.5 MWp, representing 94% of the Company’s 200 MWp target for 2026.

• The site occupies a strategically prime location on the A1 motorway corridor north of Rome, adjacent to an established industrial area and connected to Central and Northern Italy’s major transport infrastructure.

• Consideration is payable only upon securing all required permits and achieving Ready-to-Build status, in line with the Company’s capital-efficient acquisition model.

• The total land consideration for the Rome PV Project is EUR 440,000.

Solar Development Strategy

The acquisition of the Rome PV Project increases Zenith’s solar development pipeline to 188.5 MWp, marking substantial progress in the execution of the Company’s solar strategy since its launch eighteen months ago and building upon more than a decade of operational experience in Italy’s electricity sector.

In the Company’s most recent independent valuation as at March 31, 2026, 173.5 MWp of the pipeline was assigned a value of EUR 54.7 million. With the pipeline now expanded to 188.5 MWp and continuing to grow, the Company expects this valuation to increase materially when it is next updated.

The most immediate milestone for the Company is the completion of its first operational asset cluster, comprising three solar plants in Puglia with a combined capacity of 7 MWp. Construction is expected to commence in July 2026, with commissioning targeted for Q3 2026. Upon commissioning, the cluster will represent the first projects Zenith has taken from acquisition through to electricity production and will mark the Company’s transition to a renewable energy producer with operating revenues.

In just eighteen months, we have established a substantial solar development portfolio in Italy by leveraging the operational expertise and market knowledge developed through more than a decade of electricity production activities in the country. We are now approaching an important milestone with the expected commissioning of our first solar plant in Puglia during Q3 2026, which we believe will provide a catalyst for the next independent valuation of our solar portfolio.

The portfolio was independently valued at EUR 54.7 million as at 31 March 2026, based on 173.5 MWp of projects. With the pipeline now expanded to 188.5 MWp and continuing to grow, we believe there is considerable scope for further value creation as projects continue to advance through development.

In addition, we are evaluating a potential disposal of one of our development projects to a leading national renewable energy operator. If completed, the transaction would be consistent with our strategy of selectively monetising assets to realise value and organically redeploy capital into the development and construction of additional projects across our portfolio. We believe such a transaction could unlock significant value for shareholders while providing additional funding to accelerate the progression of other pipeline assets towards production, and we look forward to updating the market as discussions progress.

Update on ICSID Arbitration against the Republic of Tunisia

Zenith Energy Ltd. (“Zenith” or the “Company”) (LSE: ZEN; OSE: ZENA; XSAT: ZENA SDR), the listed international energy production and development company, is pleased to confirm that the International Centre for Settlement of Investment Disputes (“ICSID”) has now announced the final timeframe for post-hearing briefs and the delivery of the final award for the claims launched against the Republic of Tunisia by its fully-owned subsidiaries in the amount of approximately US$572.65 million (the “ICSID Arbitration”).

Conclusion of the Hearing and Final Phase

Following the conclusion of the merits hearing, which was held at the World Bank’s facilities in Paris from 20–24 April 2026, the ICSID Arbitration has entered its final post-hearing phase. This stage comprises the parties’ post-hearing written submissions, following which the Tribunal will deliberate and issue its final award.

Pursuant to Procedural Order No. 13, the Arbitral Tribunal has established the following timetable for the remainder of the proceedings:

• Post-Hearing Written Submissions – Part 1: 31 July 2026
• Post-Hearing Written Submissions – Part 2: 30 September 2026
• Tribunal Award (estimated): Q1 2027

The Company expects the comprehensive post-hearing submissions process to provide the Tribunal with the fullest opportunity to consider all material factual and legal issues before rendering a complete, well-reasoned and fully enforceable award. During the merits hearing, cross-examinations conducted by the Claimants’ legal team, comprising Professor Thomas Clay, Charles Michel, Simon Le Wita, Ben Juratowitch KC, Matthieu Grégoire and Julie Spinelli, identified a number of factual and legal issues that the Tribunal indicated warranted further examination before reaching its final determination.

For the Zenith Claimant companies, this provides an important opportunity to articulate clearly and comprehensively the full extent of the losses suffered as a result of the Republic of Tunisia’s unlawful conduct. It also enables the Claimants to address the additional evidence, factual clarifications and legal issues that emerged during the April 2026 hearing, including through the cross-examination of the Republic of Tunisia’s witnesses, which brought to light a number of troubling findings and contradictions. The Tribunal recognised the significance of these issues by directing that they be addressed as part of the post-hearing submissions.

Zenith Energy kan selge italiensk solportefølje for 12 millioner euro

Zenith Energy har signert en intensjonsavtale om salg av en portefølje med solprosjekter i Piemonte-regionen i Italia. Dersom transaksjonen gjennomføres, vil den gi selskapet et brutto overskudd på om lag 7 millioner euro.

Zenith Energy opplyser onsdag morgen at selskapets heleide italienske datterselskap WESOLAR S.R.L. har inngått en intensjonsavtale, en såkalt MoU, med en aktør innen fornybar energi om salg av en portefølje med solutviklingsprosjekter i Piemonte.

Porteføljen har en forventet installert kapasitet på rundt 50 MWp, og den foreslåtte kjøpesummen er 12 millioner euro.

Ifølge selskapet er de samlede kostnadene knyttet til oppkjøp og utvikling av prosjektene ventet å bli rundt 5 millioner euro ved ferdigstillelse. Det innebærer en estimert bruttofortjeneste på om lag 7 millioner euro dersom salget blir gjennomført.

2,4 ganger pengene

Zenith opplyser at vederlaget tilsvarer omtrent 240.000 euro per MWp, mot en anslått oppkjøps- og utviklingskostnad på rundt 100.000 euro per MWp. Det tilsvarer ifølge selskapet rundt 2,4 ganger kostbasen og en potensiell brutto verdiøkning på om lag 140 prosent.

Den mulige kjøperen beskrives som et internasjonalt konsern som vurderer å kjøpe cirka 60.000 kvadratmeter industribygg i Piemonte for ombygging til datasenter. Datasenteret skal etter planen ligge nær solprosjektene og forsynes med fornybar kraft fra disse.

Zenith varslet 13. juli at selskapet var i avanserte samtaler om salg av et solutviklingsprosjekt. Dersom den nye transaksjonen fullføres, vil den bli den første realiseringen av verdier fra Zeniths italienske solportefølje.

Selskapet opplyser at den samlede italienske solutviklingsporteføljen nå består av rundt 193 MWp utviklingskapasitet. Prosjektene i Piemonte utgjør rundt 97 MWp, hvorav omtrent 50 MWp omfattes av den foreslåtte transaksjonen.

Viktig milepæl for solstrategi

– Signeringen av intensjonsavtalen er en viktig milepæl for Zenith og gir tydelig markedsvalidering av vår italienske solstrategi, sier konsernsjef Andrea Cattaneo i meldingen.

Han viser til at Zeniths strategi er å kjøpe attraktive utviklingsprosjekter til konkurransedyktige priser, videreutvikle dem og selektivt selge prosjekter for å realisere verdier for aksjonærene.

Cattaneo sier videre at byggingen av selskapets tre solkraftverk i Puglia går etter planen, med mål om ferdigstillelse og nettilkobling før utgangen av 2026.

Zenith understreker at transaksjonen fortsatt er betinget av bekreftende due diligence, forhandling og inngåelse av endelig avtaledokumentasjon samt vanlige sluttføringsvilkår. Selskapet presiserer at det ikke er noen garanti for at salget blir gjennomført.

Kan Zenith Energy-aksjen gjenta rallyet ved oljepris på 100 dollar?

Svingningene i det globale energimarkedet skaper på nytt overskrifter. Et byks i oljeprisen fra 70 til 100 dollar fatet endrer forutsetningene for uavhengige energiselskaper. For selskaper som Zenith Energy, som tidligere har vist hvor raskt aksjen kan bevege seg når råvareprisene skyter fart, er dette et særdeles interessant bakteppe.

Aksjekursen beveget seg tidligere fra ca. 0,40 NOK til 1,20 NOK – en oppgang på 200 % drivet av høye energipriser og kraftig økende handelsvolum. Når aksjen nå handles rundt 0,58 NOK, stiller mange investorer seg spørsmålet om vi står foran en tilsvarende revaluering.

Skulle vel være unødvendig å advare, men Espen Teiglands skriblerier burde man ofte ta med en klype salt. Han prøver ofte “å røre i gryta” i slike pennystocks i håp om å frembringe et lite rally i aksjer han er ute av før blekket har tørket. Ja, Zenith har kanskje vært høyere før. Før de ble kastet ut eller trakk seg ut av Benin, Yemen, Kongo, og Aserbajdsjan. Før talløse emisjoner. Dagen etter at Teigland skrev dette er altså oljeprisen ned 10 dollar, og premisset faller bort. Nå produserer vel heller ikke Zenith olje for tiden, men litt gass. Her blir det eventuelt en lottokupong for de som satser på noen kroner i erstatning fra Tunisia. Lykke til!
