Revenues up 250% to EUR 5.2 million from same period last year

The financial report covers activity up to 30th June 2021 and shows an increase in annual recurring revenue resulting from the addition of a 20 MWp operational solar park. The Company also acquired a majority interest in Netherlands-based Engineering Procurement and Construction (“EPC”) and Operations and Maintenance (“O&M”) company, Unisun Energy Holding B.V.

“This was another solid quarter for the Company with all key metrics increasing significantly. Most importantly this quarter started to show the positive income impacts to the business from the recent acquisitions. Further to the EUR 110 million bond issuance and EUR 27 million equity raise in the first quarter, the Company raised an additional EUR 6.9 million in equity this quarter through our listing on the Euronext Growth Market – Oslo at the end of June. All funding is concentrated on continuing to grow our asset base from the 1.4 gigawatts (GW) of contracted assets we have in hand. I am also very pleased to confirm that we finally look set to acquire the exciting 65MW polish park that is part of the initial bond portfolio in September. On completion, this will bring us operational in a new country and add approximately EUR 3.5 million to our annual revenues bringing the total to just under EUR 20 million annually without further acquisitions,” said Vincent Browne, CEO, Alternus.

With the acquisition of a majority stake in Unisun Energy Holding B.V., a leading developer, EPC and O&M company in The Netherlands, Alternus became a vertically integrated IPP with the capability to construct and maintain its own solar parks going forward. It also strengthens the Company’s relationships with co-development partners as Unisun can support them in the design and engineering of the parks to ensure best performance and sustainable construction at lower costs. Unisun and its expert international team will support Alternus in bringing the current 1.7 GW of owned and contracted projects across Europe into operation by the end of 2023.

Speaking about the strong financial company position, Joseph Duey, CFO, Alternus, said “We have increased the Company’s annual recurring revenues to EUR 16.3 million, up from EUR 3.8 million from the same quarter last year and are maintaining an average of 75% project gross margins. Our strengthened balance sheet and proven financing capability is enabling us to accelerate our growth as seen in the increased contract backlog. This continued strong financial performance demonstrates our successful growth and underpins our business plan to secure more than 3.5 GW of operational projects by 2025.”

Tone Bjørnov is a full-time portfolio non-executive chair of boards and board member. Ms. Bjørnov worked with DNB, Norway’s largest financial institution, for twenty years, primarily with large corporate clients in Oslo and London and held the position of Head of Investor Relations at the Oslo Headquarters until leaving in 2006. Since then, she has worked as a portfolio non-executive director in several Scandinavian companies across various sectors from banks and financial institutions to shipping, real estate, media, biotech and aquaculture. She has chaired multiple Board committees including risk, audit and nomination in listed companies. Present board positions include Atlantic Sapphire ASA, Aqua Bio Technology ASA, Filmparken AS and Varme og Bad AS. She received her undergraduate degree from the University of Oslo and an undergraduate degree from BI Norwegian Business School and resides in Oslo.

Alternus Energy doubles operating assets to 130 MWp with closing of acquisition of 64.6 MWp Polish Witnica solar park from BayWa r.e.

Dublin, 31st August 2021, Fast growing pan-European Independent Power Producer (“IPP”) Alternus Energy Group Plc (OSE: ALT) (the “Company” or “Alternus”) continues its expansion and doubles its installed capacity with the acquisition of a 64.6 MWp Polish solar park from leading global renewable energy company BayWa r.e. The sales contract was signed between the parties in August 2021.

The solar park is in Witnica, close to the German border between Poznan and Berlin. It is Poland’s first subsidy-free utility-scale solar installation with a corporate power purchase agreement (PPA) in place. The project is also the largest in Alternus’ operational portfolio to date. BayWa r.e. will continue to supply operations and maintenance services at the solar park.

A 10-year virtual PPA has been secured with Górazdze Cement S.A., the Polish subsidiary of Heidelberg Cement Group.

Alternus Energy Contemplates Bond Tap Issue

Oslo, 2 November 2021 - Alternus Energy Group Plc, through its wholly owned subsidiary, Solis Bond Company Designated Activity Company, is contemplating a tap issue of EUR 20 million of its senior secured green bond issue (ISIN: NO0010914914). The current outstanding amount is EUR 110 million and the borrowing limit is EUR 200 million.

The net proceeds from the contemplated bond tap Issue will be used to fund the acquisition of a portfolio of Polish solar parks and acquisition and recapitalization of two Italian solar parks.

Dublin, Monday 15 November 2021 Pan-European independent power producer (IPP), Alternus Energy Group Plc (OSE:ALT) (the “Company” or “Alternus”) delivers another strong quarter, with record revenues and EBITDA reported in the third quarter and for the nine months to September 2021. Alternus has now completed all 109 megawatts (MW) of targeted acquisitions for the year to date and is executing on the targets set by management.

Third quarter revenues were EUR 7.1 million with EBITDA of EUR 4.6 million and an associated EBITDA margin of 69%, all significant improvements from Q3 2020. Gross margins in the period were 79%. Power production increased by 1.7 times from the same quarter last year and totalled 26 gigawatt hours (GWh).

A summary of the key points from the financial report for Q3 2021:

• Revenues increased to EUR 7.1 million for Q3 2021 up from EUR 2.0 million in Q3 2020
• EBITDA increased to EUR 4.6 million for Q3 2021 up from negative EUR 0.2 million in Q3 2020

• 1.37 GW of contracted assets as at 30 September 2021 with 674MW in near term pipeline.

Commenting on the successful quarter, Vincent Browne, Chairman and CEO, Alternus said

“Alternus has had its strongest financial quarter ever. This reflects successful execution of our business model and shows the significant economies of scale that are achievable as we continue to add operational capacity. Our contracted backlog and pipeline now stands at over 2GW combined. Our recent issuance of EUR 20 million in bond tap, with strong demand from investors, will allow us to add further operating assets before the end of 2021. Our construction project at Rotterdam airport is expected to be operational in Q1 2022 which will then bring ARRs to over EUR 22 million, up by 8%. It will also demonstrate our team’s ability to bring projects from development through construction and into operation.”

Revenues for the nine months ended 30 September 2021 were EUR 13.1 million up from EUR 3.5 million in the prior year. EBITDA increased by more than 40 times to EUR 7.1 million for the same period.

Pursuant to the Bond Terms, the Issuer shall use its reasonable endeavours to ensure that the Bonds are listed on Oslo Børs (the Oslo Stock Exchange) within 6 January 2022, being twelve months of the issue date. The Issuer has prepared a listing prospectus, which will be filed with the Norwegian Financial Supervisory Authority (the “NFSA”). An initial prospectus was filed with the NSFA, including consolidated audited financial statements, for approval on 15 November 2021. However, in light of certain changes to the enforcement of audit requirements, the NFSA requested the Issuer to re-file the listing prospectus with updated and separate audited financial statements for each of the guarantors. Such separate audited statements must include those guarantors / acquisitions that will close in the future, up to and including the date of listing. The Issuer is currently working on the preparation and audit of these financial statements and expect that they will be finalised by early January 2022. Considering the anticipated time for the NFSA’s review process, the Bonds will not be listed by 6 January 2022. Consequently, as of 7 January 2022 and until the Bonds have been listed on Oslo Børs, the interest on the principal amount outstanding under the Bond Terms will accrue interest at the Interest Rate plus 1.00 percentage point per annum.
