Deep Value Driller AS – option agreement with Saipem

Oslo, 7 March 2025: Deep Value Driller AS (the “Company” and together with its subsidiaries, the “Group”) is pleased to announce the entry into an option agreement (the “Option Agreement”) with Saipem (the “Charterer”) where the Charterer has been granted an option (the “Option”) until 14 April 2025 (the “Option Deadline”) to enter into an amended bareboat charter (the “Amended Bareboat Charter”) for the Group’s 7th generation mobile offshore drilling vessel “Deep Value Driller” (the “Drillship”).

If the Option is exercised, the period under the current bareboat charter will be considered completed on 1 July 2025 (the “Completion Date”) and the Amended Bareboat Charter will cover a period of 365 days (the “Initial Period”) from the Completion Date, with an option for the Charterer within the first 6 months of the Initial Period to extend the Initial Period with an additional 365 days (the “Second Period”). The Amended Bareboat Charter, if entered into, will for the Initial Period add in the range of USD 50 million in revenue backlog to the Group, assuming no idle period for the Drillship or other periods where reduced rates may apply as per the Amended Bareboat Charter. If the Option is not exercised by the Charterer within the Option Deadline, the Charterer will make a one-time payment to the Group of USD 10 million in cash.

Upon exercise of the Option to enter into the Amended Bareboat Charter, the Charterer is further granted an option (the “Purchase Option”) to purchase the Drillship (the “Potential Transaction”). The Purchase Option may be exercised during the first 180 days of the Initial Period, or if the option to extend the Amended Bareboat Charter is exercised, alternatively during the first 180 days of the Second Period. The purchase price in the Potential Transaction will be USD 300 million, plus payment of the remaining hire for the Initial Period (if any).

In accordance with DVD’s updated dividend policy as announced on 4 October 2024, DVD’s board of directors has resolved to distribute a dividend in the amount of NOK 0.25 per share, in total approximately NOK 21.6 million, for March 2025. The dividend is expected to be paid on or about 19 March 2025 and will be regarded as repayment of paid in capital by the shareholders of DVD. The dividend is resolved based on the board’s authorisation as granted by DVD’s annual general meeting on 14 May 2024. DVD notes that pursuant to the Company’s loan facility, as amended 26 March 2024, the Company is required to retain an amount equal to 12 months of interest payments which is not available for distribution.

OPERATIONAL UPDATE

The group’s 7th generation mobile offshore drilling vessel “Deep Value Driller” (Gusto MSC P design) continues to show its excellent operational capabilities. For February 2025, the drillship has operated at 98.8% operational efficiency.

Svend Anton Maier, CEO, further comments: “DVD is very pleased with the continued engagement of Saipem with the company and the option agreement entered into with Saipem. The rig’s efficiency, technical specifications and successful operations under the contract with Saipem has led to interest in our rig from the market including Saipem. Saipem has also made major technical investments on the rig, to meet specific Saipem operational needs going forward. A continued engagement with Saipem is in the best interest of the shareholders.”

7 March 2025: The board of directors of Deep Value Driller AS (“DVD” or the “Company”) has received notice of exercise of 1,495,000 warrants by the chair of the board Einar J. Greve, acting through Cipriano AS, and of 2,433,333 warrants by board member Gunnar Hvammen, acting through Solan Capital AS. Each warrant gives the right to one share in DVD.

The exercise price for each warrant is NOK 1.75 per share. The exercise price is based on the original exercise price of NOK 8.50, as adjusted for the total amounts of dividends paid by DVD to its shareholders in the period from the date of issuance of the warrants in March 2021 to the date of exercise of the warrants (in aggregate NOK 6.75 per share), in accordance with the terms of the warrant agreements entered into with DVD.

Following the exercise of warrants, Mr. Greve and Mr. Hvammen, and their respective closely associated companies, hold no outstanding warrants in DVD.

Pursuant to the warrant exercises, the Company’s share capital will be increased by NOK 392,833.30 through the issuance of 3,928,333 new shares, each with a par value of NOK 0.10. Upon registration of the share capital increase, the Company’s share capital will be NOK 9,062,500 divided into 90,625,000 shares, each with a par value of NOK 0.10. The share capital increase will be filed with the Norwegian Registry of Business Enterprises as soon as possible.

Oslo, 14 April 2025: Reference is made to the stock exchange announcement made by Deep Value Driller AS (the “Company”) on 7 March 2025 regarding the entry into of an option agreement (the “Option Agreement”) with Saipem (the “Charterer”) whereby the Charterer was granted an option until 14 April 2025 (the “Option”) to enter into an amended bareboat charter (the “Amended Bareboat Charter”) for the group’s 7th generation mobile offshore drilling vessel “Deep Value Driller” (the “Drillship”).

The Company is pleased to announce that the Option has been exercised by the Charterer, after which the Amended Bareboat Charter has been entered into between the Charterer and the Company’s wholly-owned subsidiary Deep Value Driller Ltd. Oslo, 14 April 2025: Reference is made to the stock exchange notice by Deep Value Driller AS (“DVD”) earlier today. As set out in the notice, the board of directors has resolved to distribute a dividend in the amount of NOK 0.25 per share, in total approximately NOK 23.3 million, for April 2025.
