shares in the company. The purpose of the scheme is to increase our employees’
interest for the company’s goals and performance through owning shares. The
scheme is also part of the company’s strategy of motivating, rewarding, and
retaining employees. The Board intends for the scheme to become a permanent part
of the company’s employee incentive scheme. The general meeting will
nevertheless consider the acquisition of shares every year and decide whether to
continue the scheme.

The offer for 2026

The company will offer a share savings scheme based on a maximum annual savings
amount per employee (DKK 90,000 for Denmark and NOK 120,000 for Norway and
Sweden) that is financed by a monthly deduction from the employee’s salaries.
The company will contribute with 25 per cent of the agreed yearly amount
invested, limited upwards to NOK 7,500 per year. After two years of ownership,
and provided the person is still employed with Gjensidige, the company will
allocate one bonus share for every fourth share bought in connection with this
offer. The purchase of shares will take place through DNB on the day or days
following publication of the interim accounts. The first purchase will take
place after the publication of the 1st quarter 2026 interim report. The purchase
price and the number of shares acquired by the company will be reported in
accordance with the applicable regulations. Employees will be allocated shares
at the purchase price, adjusted for the discount.

Attached to this release is information about the subscriptions in the share
savings scheme for 2026 made by primary insiders. The subscribed amount
disclosed is the total amount for 2026. The purchase price and the number of
shares will be reported each time allocation has been made.

Background

At the annual general meeting on 20 March 2025, the general meeting provided the
Board with the following authorisation to acquire shares on behalf of the
company for the purpose of implementing and executing the Group’s share savings
scheme (as approved by the board) and remuneration scheme for executive
employees (in accordance with the remuneration regulations and the remuneration
policy adopted by the Board). The authorisation and the general meeting’s
resolution is available at our website www.gjensidige.com/investor
-relations/corporate-governance#general-meeting.

Gjensidige has received proceeds of approximately EUR 99 million from the sale
of ADB Gjensidige, based on estimated equity for ADB Gjensidige as at 31

the first quarter of 2026 by approximately 5 percentage points, based on the
approved partial internal model as of 30 September 2025.

Gjensidige genererte et overskudd etter skatt på 1 310 millioner kroner i fjerde
kvartal og 6 417 millioner for hele året som et resultat av sterk inntektsvekst
og solide bidrag fra investeringsporteføljene. Combined ratio forbedret seg
betydelig for året sett under ett. Reduksjon i bokført verdi for kjernesystemet
for skadeforsikringsvirksomheten, og omstillingskostnader i Danmark, begge
kostnadsført i fjerde kvartal, reduserte overskuddet med 502 millioner kroner.
Kapitalposisjonen er fortsatt sterk, og styret foreslår et utbytte på 14,50
kroner per aksje, bestående av et regulært utbytte på 10,00 kroner og utbetaling
av overskuddskapital på 4,50 kroner.

Vi gjorde gode fremskritt i 2025 takket være våre engasjerte og kompetente
ansatte og solid drift, og jeg forventer at denne utviklingen fortsetter
fremover, sier administrerende direktør Geir Holmgren.

Vi vil fortsette arbeidet med å beholde vår ledende og unike posisjon i det
norske markedet, samtidig som vi styrker lønnsomhet og vekst både i og utenfor

Gjensidige rapporterte et resultat før skatt på 1 753,8 millioner kroner (1
605,3) for kvartalet. Resultatet inkluderer en kostnad på 422,7 millioner kroner
relatert til en reduksjon av bokført verdi for kjernesystemet som for tiden er
under implementering i Danmark. Resultatet inkluderer også omstillingskostnader
i Danmark, som utgjør 79,1 millioner kroner. Resultatet etter skatt fra
videreført virksomhet var 1 309,8 millioner kroner (1 203,1).

Skadeforsikring
Forsikringsinntektene økte med 10,6 prosent til 11 080,5 millioner kroner (10
019,0) i kvartalet, eller med 10,4 prosent målt i lokal valuta. Dette ble
primært drevet av pristiltak på tvers av privat- og commercial-porteføljene i
alle geografier, i tillegg til høyere volum i privat, og i commercial i Danmark
og Sverige.

Forsikringsresultatet ble 1 296,7 millioner kroner (1 669,9). Ekskludert
kostnadene knyttet til kjernesystemet og omstillingskostnadene i Danmark, økte
forsikringsresultatet med 7,7 prosent, noe som reflekterer vekst i
forsikringsinntekter og høyere avviklingsgevinster.

Combined ratio var 88,3 (83,3), eller 83,8 når man ekskluderer kostnadene nevnt
ovenfor. Skadeprosenten økte med 1,3 prosentpoeng, noe som reflekterte større
storskader, som inkluderte 349,0 millioner kroner i skader knyttet til stormen
Amy, netto etter gjenforsikring og inkludert gjeninnsettelsespremie. Høyere
avviklingsgevinster bidro positivt. Den underliggende frekvensskadeprosenten

Pensjon
Pensjonssegmentet hadde et overskudd før skatt på 186,9 millioner kroner (minus
58,3), hovedsakelig drevet av høyere netto finansinntekter.

Finansielt resultat
Finansresultatet for investeringsporteføljen var 482,3 millioner kroner (207,8).
Netto etter forsikringsfinans var finansresultatet for investeringsporteføljen
370,3 millioner kroner (138,3).

Andre poster
Andre poster utgjorde minus 100,1 millioner kroner (minus 144,7), hvor
forbedringen hovedsakelig reflekterte tap på naturskadeforsikring og økte
resultater fra mobilitetstjenester.

Avviklet virksomhet
Overskuddet fra avviklet virksomhet var 7,1 millioner kroner (24,0), noe som
reflekterer en nedgang i forsikringsresultatet og netto finansinntekter.

Gjensidige generated a profit after tax of NOK 1,310 million in the fourth
quarter and NOK 6,417 million for the full year, supported by strong revenue
growth and solid contributions from the investment portfolios. The combined
ratio improved significantly for the year as a whole. Reduction of the book
value of the core IT system for the general insurance business, and workforce
reductions in Denmark, both recognised in the fourth quarter, reduced the profit
by NOK 502 million. The capital position remains strong and the Board proposes a
dividend of NOK 14.50 per share, comprising a regular dividend of NOK 10.00 and
a special dividend of NOK 4.50.

Gjensidige Forsikring Group recorded a profit before tax expense of NOK 1,753.8
million (1,605.3) for the quarter. The profit includes an expense of NOK 422.7
million related to reduction of the book value of the core IT system currently
under implementation in Denmark. The result also includes restructuring expenses
related to the workforce reductions in Denmark, amounting to NOK 79.1 million.
The profit after tax expense from continuing operations was NOK 1,309.8 million
(1,203.1).

General insurance
Insurance revenue from general insurance increased by 10.6 per cent to NOK
11,080.5 million (10,019.0) in the quarter, or by 10.4 per cent measured in
local currency. This was mainly driven by pricing measures across the private
and commercial portfolios in all geographies, in addition to higher volumes in
Private, Commercial in Denmark and in Sweden.

The insurance service result was NOK 1,296.7 million (1,669.9). Excluding the
expenses related to the core IT system and workforce reduction in Denmark, the
insurance service result increased by 7.7 per cent, reflecting growth in
insurance revenue and higher run-off gains.

The combined ratio was 88.3 (83.3), or 83.8 when excluding the expenses
mentioned above. The loss ratio increased by 1.3 percentage points, reflecting
higher large losses which included NOK 349.0 million in claims related to the
storm Amy, net of reinsurance and including reinstatement premium. Higher run
-off gains contributed positively. The underlying frequency loss ratio improved
by 0.7 percentage points, reflecting improvements in all segments and
geographies except Commercial in Norway. The cost ratio increased by 3.7
percentage points. Excluding the expenses mentioned above, the cost ratio
improved by 0.8 percentage points, reflecting revenue growth, targeted
efficiency measures and strict cost discipline.

Pension
The pension segment recorded a profit before tax expense of NOK 186.9 million
(minus 58.3), mainly driven by a higher net finance income.

Financial result
The financial result for the investment portfolio was NOK 482.3 million (207.8).
Net of insurance finance, the net financial result for the investment portfolio
was NOK 370.3 million (138.3).

Other items
Other items amounted to minus NOK 100.1 million (minus 144.7), with the
improvement mainly reflecting losses on natural perils insurance and higher
results from mobility services.

Discontinued operations
The profit from discontinued operations was NOK 7.1 million (24.0), reflecting a
decrease in the insurance service result and net financial income.

Based on the Supreme Court’s ruling, Gjensidige has reassessed the accounting
provision made in the first quarter of 2024. The company has concluded that the
basis for the provision is no longer present and will therefore reverse the
provision of DKK 80.0 million in the first quarter of 2026.

Gjensidige considers the Supreme Court’s ruling to provide clarity in the matter
and does not expect the case to have further implications for the company.
