Reference is made to the stock exchange announcements by Magseis Fairfield ASA (“MSEIS” or the “Company”) on 13 and 14 February 2020 regarding a successfully completed private placement of 81,600,000 new shares in the Company (the “Privat Placement”), and a potential subsequent offering of up to 13,600,000 new shares (the “Subsequent Offering”). The Private Placement was divided into two tranches, of which the share capital increase pertaining to the first tranche was resolved by the Board of Directors of the Company on 13 February 2020.
An extraordinary general meeting was held at the Company’s offices at Strandveien 50, 1366 Lysaker, Norway on Friday 6 March 2020. The agenda included the approval of the second tranche of the Private Placement, consisting of 44,565,882 offer shares (Tranche 2), and an authorization to the board of directors to carry out the Subsequent Offering. All items on the agenda were approved by the extraordinary general meeting.
A prospectus dated 24 February 2020 has been prepared in connection with the listing of the Tranche 2 shares and the Subsequent Offering.
The board of directors will consider if the subsequent offering shall be carried out. Since the announcement of the Private Placement, the MSEIS share price has traded significantly below the subscription price of NOK 3.40. Unless the share price trades up immediately prior to the planned commencement of the subscription period for the subsequent offering (Wednesday 11 March 2020), the subsequent offering will most likely be cancelled.
