Oslo, 8 December 2025 – Norwegian Block Exchange AS (NBX), a leading Nordic crypto service provider, announces a strategic decision to pursue its banking license ambitions independently, following a thorough evaluation of partnership opportunities with Globitex Holding.

Following discussions referenced in the stock exchange notice of 16 April 2025, NBX’s Board of Directors has completed its strategic review and determined that pursuing a banking license independently, or through alternative partnerships, represents the optimal path forward for creating shareholder value.

Through this evaluation process, the Board identified opportunities for NBX to accelerate its strategic objectives while maintaining greater operational flexibility. Stig Kjos-Mathisen will exit the board of Globitex Holding.

Reference is also made to the stock exchange notice of 27th June 2025 regarding the financing agreement with LDA Capital. Pursuant to the existing loan agreement, Observatoriet Invest AS, a close associate of board member Bjørn Kjos, has delivered 16,890,000 shares to LDA Capital Ltd. (“LDA”). The shares will be delivered back to Observatoriet Invest AS once the period is completed and new shares are issued. The aforementioned shares constitute a loan. The same number of shares will be returned to Observatoriet Invest AS. Similar to previous loans, no interest or fees will be paid.

The cooperation with LDA Capital was extended in 2025, and the company has a $10M USD financing line to draw upon, increasing flexibility and reducing reaction time in case of accretive opportunities. Adding to our BTC treasury and strengthening our balance sheet is such an opportunity.

The dynamics have been largely misunderstood by many market participants due to complexity. As communicated, NBX fully controls the equity dilution under this agreement, which is more effective and has a lower cost associated compared to traditional financing for companies of our maturity.

NBX Strengthens Bitcoin Treasury with 5.6 BTC Acquisition at NOK 667,482 and initiates POA 6

OSLO, NORWAY – March 20, 2026 – Norwegian Block Exchange AS (NBX), a leading Nordic crypto service provider and first Norwegian listed active Bitcoin treasury company, has completed an additional acquisition of 5,68 Bitcoin. The acqusition is part of the company’s long-term treasury strategy and was executed at approx. NOK 667,482 per Bitcoin allowing for a lower average price than similar BTC treasury vehicles in the Nordics. NBX holds about 19 Bitcoin in its own reserves.

To facilitate the acquisition, the company is also announcing the start of Put Option Agreement 6 period. The purpose of the POA is to fund the acquisition of more Bitcoin to the company’s Bitcoin treasury while simultaneously positioning the company to meet future capital requirements related to issuance of E-money tokens.
