The discount is actually pushed by the guarantors, they required a considerable discount to hedge themselves against a painful stock price decline, which eventually happened but still not below emi price. What we also need to consider is that the shareholder structure in pci biotech is built in a good portion by small investors who would (knowingly) struggle to exercise their warrants so they would push the sell button creating panic among investors thus the share price would go south, remember also that many shareholders still sit with 3,5, 7, 15 nok entry price, so selling at 30,5 still gives them good pocket money
. I will be surprised if the guarantors did not consider this for their case, this actually works in their favor so that they collect more shares as these guarantors are after volume. for small investors however who still hold on to their warrants, they might not even used them by Wednesday if the share price continues south by few cents however all this volume can go straight to the guarantors whom main reason to be a guarantor is to achieve a good % of ownership (i don’t think they are after the 3,5% fee), we have even seen Myrild for example going for a higher % than what he was entitled to.
Also if you look at the guarantors list below, i can easily see that at least 155 millions NOK (>40% of the rights issue) is guaranteed by existing shareholder entities (could be more) where we already know that some of them have even bought extra warrants during the subscription trading period, and I am totally convinced that they will only do this if the pci biotech case is strong. Explains why the large investors were rushing to collect more warrants.
This does not mean i don’t understand your frustration but I am sure we will laugh at this in the near future after the next few triggers are in place so for the time being CHILLAX !
