Electronics ASA (the “Company”).

Reference is made to the announcement by the Company on 2 March 2021 regarding a
successfully completed private placement in the Company and the subsequent
issuance of 68,922,869 new shares following registration in the Norwegian
Register of Business Enterprises. Due to the issuance of new shares in the
Company, a certain large shareholder discloses the following information
pursuant to Section 4-2 of the Norwegian Securities Trading Act and the
Securities Trading Act Regulations.

Upon registration, the shareholding of Middelborg Invest AS and close associates
will represent 6.42% of the Company’s total number of outstanding shares,
holding a total of 71,248,487 shares in the Company. Furthermore, Middelborg
Invest AS owns 17,993,008 Warrants B with an exercise price of NOK 0.25 per
share and which will be exercisable at any time until 20 August 2021 and
37,416,667 Warrants C with an exercise price of NOK 0.25 per share and which
will be exercisable at any time between 31 March 2021 and 30 June 2021. All
unexercised Warrants will represent 4.99% of the Company’s total number of
outstanding shares. All shares and unexercised Warrants combined will represent
11.41% of the Company’s total number of outstanding shares.

“Company”) on 2 March 2021 regarding the successful completion of a private
placement raising approximately NOK 57 million (the “Private Placement”) through
the allocation of 68,922,869 new shares in the Company. The share capital
increase associated with the Private Placement has now been duly registered in
the Register of Business Enterprises. Following the share capital increase, the
Company’s share capital is NOK 122,116,721.43 divided into 1,110,152,013 shares,
each with a par value of NOK 0.11.

The delivery of shares allocated in the Private Placement was settled with
existing, unencumbered and already listed shares in the Company, pursuant to a
share lending agreement entered into between the Managers (SEB and SpareBank 1
Markets), a certain existing shareholder and the Company. The Managers will
settle the share loan with the new shares issued by the Company, the listing of
which will be subject to the publication of a listing prospectus.

19 March 2021, regarding a private placement of shares in the company.

The Financial Supervisory Authority of Norway (Norwegian: Finanstilsynet) has
approved a listing prospectus dated 26 March 2021 for the listing of 68,922,869
new shares on Oslo Børs. The delivery of shares allocated in the Private
Placement was settled with existing, unencumbered and already listed shares in
the Company, pursuant to a share lending agreement entered into between the
Managers (SEB and SpareBank 1 Markets), a certain existing shareholder and the
Company. The Managers will settle the share loan with the new shares issued by
the Company, the listing of which will be subject to the publication of a
listing prospectus. As a result of the approved prospectus, the new shares will
be listed on Oslo Børs on 29 March 2021.

The prospectus also covers the listing of up to 679,182,172 shares that may be
issued upon exercises of issued and outstanding Warrants B and Warrants C in the
Company.

awards previously granted to US employees under the Company’s 2020 Subscription
Rights Incentive Plan (“2020 Plan”). The Board has therefore, as allowed under
the 2020 Plan, resolved to reprice such prior grants to become fully compliant
with applicable US tax laws. With reference to the Company’s announcements on
Oslo Børs on 13 September, 16 October, 11 December and 18 December 2020

on 19 August 2020 (the “EGM”) whereby, the 2020 Subscription Rights Incentive
program for employees (“2020 SR Plan”) and the subscription rights program for
the Board of Directors (“2020 Board Plan”) were resolved. Due to the substantial
number of warrants issued in connection with the two private placements in
2020, the maximum numbers of subscription rights issuable under the 2020 SR Plan
and 2020 Board Plan were calculated based on a percentage of the share capital
on a “Fully Diluted” basis, taking into account issued and outstanding warrants,
but always limited to 10% and 2%, respectively, of the Company’s share capital.
Practically speaking, this provided that more incentive subscription rights can
be issued, as anti-dilution grants, once warrants become exercised (“Anti-
dilutive Grants”).

Further to such EGM resolutions, Thin Film Electronics ASA (“Thinfilm” or the
“Company”) has on 12 May 2021 resolved to issue a total of 54,334,574 incentive
subscription rights to employees in the Thinfilm group and 13,583,644 incentive
subscription rights to members of the Board of Directors. The grants were made
under the Company’s 2020 SR Plan and 2020 Board Plan, respectively, as approved
by the EGM. The exercise price of the subscription rights is NOK 0.7757 per
share, provided however that the exercise price for European Board members is
NOK 0.15 (as resolved by the EGM). The subscription rights will vest as set out
in the 2020 SR Plan and 2020 Board Plan. Following the grants, there are
185,007,973 subscription rights issued and outstanding in Thinfilm.

The foregoing Anti-dilutive Grants remain subject to approval by the 2021 Annual
General Meeting in accordance with the terms and conditions set out in Section
9 of the Notice of such Annual General Meeting (which Notice was published on
Oslo Børs on 12 May 2021). Moreover, as the Anti-dilutive Grants assume 100%
exercise of Warrants B and C, which expire on 20 August 2021 and 30 June 2021,
respectively, a proportionate number of the Anti-dilutive Grants will be
cancelled and forfeited to the extent Warrant B and C are not exercised within
their respective expiration dates.

subscription rights (“SRs”) in the Company. The exercise price of the SRs is NOK
0.7757 per share.

On 12 May 2021, David Williamson, acting CFO of Thinfilm, was granted 4,137,701
SRs in the Company. The exercise price of the SRs is NOK 0.7757 per share.

On 12 May 2021, Arvind Kamath, EVP technology development & manufacturing in the
Thinfilm group, was granted 10,767,318 SRs in the Company. The exercise price of
the SRs is NOK 0.7757 per share.

On 12 May 2021, Morten Opstad, board chair, was granted 4,527,881 SRs in the

Morten Opstad, board chair of Thinfilm, who shall also open the Annual General
Meeting on 3 June 2021, had received, as of the close of business on 31 May
2021, powers of attorney to represent and vote for a total of 173,604,282 shares
or 14.9% of the share capital and the voting rights of the Company. The powers
of attorney do not contain voting instructions and are only valid at the Annual
General Meeting.

In addition, Mr. Opstad has also received powers of attorney containing voting
instructions for a total of 79,314 shares or less than 0.1% of the share capital
and the voting rights of the Company.

Mr. Opstad and close associates hold 4,938,847 shares or 0.4% of the share
