Reference is made to the announcement on 14 August 2023 regarding the completion of the agreement entered into by Falcon Bidco. AS (the “Offeror”), a company indirectly wholly owned by infrastructure funds managed by Goldman Sachs Asset Management, with NTS AS (“NTS”), a wholly owned subsidiary of SalMar ASA (“SalMar”) (OSE ticker: SALM), and Frøy ASA (“Frøy” or the “Company”) (OSE ticker: FROY), whereby the Offeror acquired NTS’ entire ownership stake in Frøy, representing approximately 72.11% of the shares in Frøy, and announced that it would make an unconditional mandatory cash offer to acquire all other shares in Frøy (the “Mandatory Offer”) in combination with a compulsory acquisition of all the shares in Frøy not held by it (the “Compulsory Acquisition”).
Today, the Oslo Stock Exchange has in its capacity as take-over supervisory authority in Norway, pursuant to section 6-14 of the Norwegian Securities Trading Act, reviewed and approved the offer document for the Mandatory Offer (the “Offer Document”), which also includes an offer of redemption price under the Compulsory Acquisition. The terms and conditions of the Mandatory Offer and the Compulsory Acquisition are set out in the Offer Document.
The main terms of the Mandatory Offer are:
- Offer price: NOK 76.50 in cash per share in Frøy.
- Offer period: From 09:00 hours (CEST) on 17 August 2023 to 16:30 (CEST) on 14 September 2023. The offer period may be extended by up to two weeks.
- Settlement: In NOK no later than two weeks after expiry of the offer period.
The Mandatory Offer may only be accepted on the basis of the Offer Document, which will be distributed to the shareholders in Frøy as registered in Euronext Securities Oslo (the Norwegian Central Securities Depository, VPS) as of the date of the Offer Document, except for shareholders in jurisdictions where it may not be lawfully distributed. The Offer Document may be obtained from Nordea Bank Abp, filial i Norge, Essendrops gate 7, 0368 Oslo, Norway, and is, subject to regulatory restrictions in certain jurisdictions, available at www.nordea.com/en/froy-asa and www.froygruppen.no.
The redemption price under the Compulsory Acquisition is NOK 76.50, equal to the offer price in the Mandatory Offer. The Compulsory Acquisition of the remaining shares in Frøy takes effect today, and, consequently, the Offeror is the owner of 100% of the shares of the Company as from 16 August 2023. See the attached form for further information.
Shareholders who were subject to the Compulsory Acquisition may still choose to accept the Mandatory Offer.
Shareholders who accept the Mandatory Offer will receive settlement no later than two weeks after the expiry of the offer period, expected on or about 28 September 2023, whereas shareholders who do not take any action to accept the Mandatory Offer and remain passive, will upon the expiry of the statutory objection deadline 16 October 2023 be deemed to have accepted the amount offered in the Compulsory Acquisition, and will receive settlement within two weeks after such date.
