Reference is made to the stock exchange announcement from HAV Group ASA (“HAV” or the “Company”) of 24 May 2023 regarding the continuation of the repurchase program of up to 7,000,000 own shares. HAV Group: Partner for Fjord1’s Lavik-Oppedal ferries

18 October 2023 – The Norwegian Public Roads Administration (NPRA) has today notified Norwegian ferry operator Fjord1 that it has been selected to develop and operate a next-generation autonomous ferry concept for the Lavik-Oppedal crossing in Norway. Contingent of a final contract award, Fjord1 has committed to utilise HAV Group as technology partner and key supplier to the four newbuild, autonomous zero-emission ferries that will operate the Lavik-Oppedal route.

HAV Group’s involvement in the project is subject to the final contract being awarded from NPRA to Fjord1 following a mandatory ten-day standstill period, and subject to final contracts being entered into with HAV Group. The potential contracts will be based on a future-oriented operating concept that Fjord1 has developed together with HAV Group.

Subject to the above conditions, HAV Group’s ship design business will deliver ship design and an engineering package for the next generation of four electric ferries that will be able to operate with a high degree of automation of vessel functions and autonomous navigation. Further, HAV Group’s energy and smart control business will act as system integrator and provide complete system deliveries for power system, automation and bridge design including navigation and communication solutions for the four ferries, plus supply two onshore charging stations. It will also develop and deliver systems for automation of vessel functions and autonomous navigation for the operating concept.

“This project can potentially become one of HAV Group’s largest contracts ever. Moreover, it can elevate our position as supplier of vessel concepts with a high degree of autonomy and automation of functions that replace manual operations on board and on land. I must stress that there are several steps to take before any contracts are signed, but today’s news puts HAV Group in pole position as designer, developer and supplier to these four cutting-edge ferries,” says Gunnar Larsen, CEO of HAV Group.

Lavik–Oppedal is a ferry route that crosses the Sognefjord, on the northwest coast of Norway, from Lavik in Høyanger municipality to Ytre Oppedal in Gulen municipality. The ferry crossing takes 20 minutes and the route is 5.6 kilometres long. Four newbuild zero emission ferries will operate the route from 1 September 2026 onwards. Complete implementation of automation functions and autonomous systems, including autocrossing and autodocking, are required from January 2027, while fully autonomous navigation should be implemented from January 2028.

HAV Group: Partner for Fjord1’s ferger til Lavik-Oppedal

oktober 2023 – Statens vegvesen har i dag meddelt det norske fergeselskapet Fjord1 at det er valgt ut til å utvikle og drifte et neste generasjons autonomt fergekonsept for sambandet Lavik-Oppedal i Norge. Forutsatt en endelig kontraktstildeling har Fjord1 forpliktet seg til å benytte HAV Group som teknologipartner og nøkkelleverandør til de fire nybygde, autonome nullutslippsfergene som skal trafikkere ruten Lavik-Oppedal.

HAV Groups engasjement i prosjektet er betinget av at den endelige kontrakten tildeles fra Statens vegvesen til Fjord1 etter en obligatorisk ti-dagers karensperiode, og at det inngås endelige kontrakter med HAV Group. De potensielle kontraktene vil være basert på et fremtidsrettet driftskonsept som Fjord1 har utviklet sammen med HAV Group.

Fergeoverfarten tar 20 minutter og ruten er 5,6 kilometer lang. Fire nybygde nullutslippsferger skal trafikkere ruten fra 1. september 2026 og utover. Fullstendig implementering av automasjonsfunksjoner og autonome systemer, inkludert autocrossing og autodocking, er påkrevd fra januar 2027, mens fullstendig autonom navigasjon planlegges for implementering fra januar 2028.

HAV Group ASA: Resultater tredje kvartal 2023

(Fosnavåg, 24. november 2023) HAV Group ASA (HAV Group, OSE: HAV) rapporterte driftsinntekter på 193 millioner kroner i tredje kvartal 2023, en økning fra 136,6 millioner kroner i samme kvartal i fjor. Som guidet i presentasjonen for andre kvartal forventer HAV Group et svakere driftsresultat i andre halvdel av 2023. Inntjening før renter, skatt, av- og nedskrivninger (EBITDA) for tredje kvartal endte på -17 millioner kroner (5,3). Selskapet hadde en sterk ordreinngang på 288 millioner kroner (61) i kvartalet.

– Inntektene øker, men en annen type prosjektsammensetning i kombinasjon med opprettholdte kapasitetsnivåer resulterer i svakere marginer i andre halvår, i tråd med hva vi tidligere har guidet. Vi er imidlertid optimistiske med tanke på fremtiden, og ordreinngangen i kvartalet og hendelser i etterkant har bidratt til å forsterke dette synspunktet. Videre opplever vi økende anbudsaktivitet for både virksomhetene for skipsdesign og energidesign og smartkontroll, som begge har ledig kapasitet vi kan dra nytte av, sier Gunnar Larsen, konsernsjef i HAV Group.

Ordreinngangen i tredje kvartal 2023 var på 288 millioner kroner, en betydelig økning fra 61 millioner kroner i samme kvartal i fjor. Ved utgangen av tredje kvartal var HAV Groups ordrereserve 607 millioner kroner (481).

Etter kvartalsslutt, den 18. oktober 2023, meldte HAV Group at Fjord1 har forpliktet seg til å benytte HAV Group som teknologipartner og nøkkelleverandør til de fire nye, autonome nullutslippsfergene som skal seile ruten Lavik-Oppedal. Forutsatt endelig kontraktstildeling kan prosjektet bli en av HAV Groups største kontrakter noensinne, med betydelige leveranser fra HAV Groups virksomheter for skipsdesign og energidesign og smartkontroll.

– Det er kanskje vel så viktig at et slikt prosjekt vil heve HAV Groups markedsposisjon og konkurransekraft som leverandør av fartøy med høy grad av autonomi og automatisering, samt understreke spisskompetansen vår innen nullutslippsferger. Dialogen med Fjord1 er konstruktiv og pågående, sier Gunnar Larsen.

HAV Group rapporterte driftsinntekter på 193 millioner kroner (136,6) i årets tredje kvartal. EBIT var -21,4 millioner kroner (0,8). Netto kontantstrøm var -26,7 millioner kroner i kvartalet (-42,2). Konsernets kontantbeholdning ved utgangen av tredje kvartal var på 232,7 millioner kroner (257,5).

FREMTIDSUTSIKTER

Globale megatrender med ambisiøse mål og stadig strengere miljøkrav gir insentiver og krav til den maritime næringen om å redusere sitt miljøavtrykk betraktelig. IMOs nylig oppdaterte strategi for reduksjon av klimagassutslipp fra shipping understreker denne trenden og forventes å resultere i strengere designkrav for energieffektivitet på skip.

Visse utsatte investeringsbeslutninger i kombinasjon med en annen type prosjektsammensetning medfører at marginene i andre halvår 2023 forventes å bli svakere enn i første halvår 2023. HAV Group anvender nåværende overskuddskapasitet til prosjekter som skal ytterligere styrke konsernets konkurransekraft for å fullt ut kunne utnytte kommende vekstmuligheter.

HAV Group erfarer økende anbudsaktivitet for konsernets virksomheter for skipsdesign og energidesign og smartkontroll.

HAV Group opprettholder forventningene om driftsinntekter på 1,3 milliarder kroner i 2025, med periodiske svingninger som gjenspeiler konsernets prosjektbaserte virksomhet.

HAV Group ASA: Third quarter 2023 financial results

(Fosnavåg, Norway, 24 November 2023) HAV Group ASA (HAV Group, OSE: HAV) reported revenue of NOK 193 million in the third quarter of 2023, an increase from NOK 136.6 million in the same quarter last year. As guided in the second quarter presentation, HAV Group expected weaker operating result in the second half 2023. EBITDA* for the third quarter ended at NOK -17.0 million (5.3). Order intake in the quarter was strong at NOK 288 million (61).

“Revenues are up, but differences in project mix and maintained capacity levels result in weaker margins during the second half of the year, which is in line with our guidance. We are optimistic about the future, though, and the quarterly order intake and subsequent events has helped to reinforce this view. Further, we are experiencing growth in tender pipeline for both our ship design and energy design & smart control businesses, which both have available capacity that we can capitalise on,” says Gunnar Larsen, CEO of HAV Group.

Order intake in the third quarter 2023 was NOK 288 million, significantly up from NOK 61 million in the same period last year. At quarter-end, HAV Group’s order backlog stood at NOK 607 million (481).

Subsequent to the end of third quarter, on 18 October 2023, HAV Group announced that Fjord1 has committed to utilise HAV Group as technology partner and key supplier to the four newbuild, autonomous zero-emission ferries that will operate the Lavik-Oppedal route. This project can, contingent on a final contract, become one of HAV Group’s largest contracts ever, with substantial delivers from HAV Group’s ship design and energy design and smart control system businesses.

“Perhaps just as importantly, such a project will elevate HAV Group’s market position and competitive edge within vessel autonomy and automation, plus emphasize our leading competence within zero emission ferry operations. The dialogue with Fjord1 is constructive and ongoing,” says Gunnar Larsen.

HAV Group reported revenue of NOK 193 million (136.6) in this year’s third quarter, and EBIT was NOK -21.4 (0.8). Net cash flow was NOK -26.7 million in the quarter (-42.2). The group’s cash balance at the end of the third quarter was NOK 232.7 million (257.5).

OUTLOOK

Global megatrends with ambitious goals and increasingly stringent environmental requirements provide incentives and requirements for the maritime industry to reduce its environmental footprint considerably. IMO’s recently announced GHG reduction strategy for shipping has emphasized this further and is expected to strengthen energy efficiency design requirements for ships.

Certain delayed investment decisions in combination with differences in project mix, is expected to result in weaker margins in H2 2023 compared to H1 2023. HAV Group is currently utilizing excess capacity in projects aimed at improving the group’s competitive position to be able to fully capitalise on the forthcoming growth opportunities.

HAV Group is experiencing growth in tender pipeline for its ship design and energy design and smart control businesses.

HAV Group reiterates 2025 revenue outlook of NOK 1.3 billion, with periodic fluctuations reflecting the project-driven business.

“Zero emission vessels are the future for all ocean-based industries. We look forward to collaborating with North Salmon Service to realise their exiting wellboat plans and pave the way for zero emission shipping in the fish farming industry,” says Gunnar Larsen, CEO of HAV Group.

The vessel will be equipped with a dual-fuel engine capable of sailing with ammonia as fuel. The intention is also that the vessel will be outfitted with the most advanced equipment available in order to reduce fuel consumption and CO2 emissions.

HAV Group will design the vessel and optimize it technologically to carry out wellboat operations and at the same time ensure maximum utilization of green fuels. To achieve this, North Salmon Service and HAV Group will contribute with their respective specialist competence within operating profiles for ships and operational know-how for wellboats.

“As wellboat operator we have a strong desire to contribute towards limiting our climate and environmental footprint associated with production of salmon. That is why we want to assess the possibility of developing a wellboat that through use of ammonia as ship fuel could have zero emission potential,” says Arnt Erling Paulsen, managing director of wellboat company North Salmon Service.

North Salmon Service and HAV Group’s ship design business will together identify technologies and subcontractors that can contribute toward the long-term target of building an ammonia-fuelled wellboat. Its sister company HAV Hydrogen could be a potential cooperation partner for the preliminary project.

HAV Group’s subsidiary HAV Design AS is North Salmon Service’s cooperation partner for the project.

desember 2023 – Brønnbåtrederiet North Salmon Service har valgt HAV Groups skipsdesignvirksomhet som samarbeidspartner for å utrede en brønnbåt som har ammoniakk som drivstoff.

North Salmon Service og HAV Groups skipsdesignvirksomhet har i fellesskap søkt, og fått innvilget, økonomisk støtte fra Enova for å gjennomføre et seks måneders langt forprosjekt for å utvikle brønnbåten.

Vi ønsker derfor å se på mulighetene for å utvikle en brønnbåt som ved bruk av ammoniakk som drivstoff vil ha nullutslippspotensial, sier Arnt Erling Paulsen, daglig leder i brønnbåtrederiet North Salmon Service.

North Salmon Services og HAV Groups skipsdesignvirksomhet skal i fellesskap jobbe med å identifisere teknologier og underleverandører som kan bidra til det langsiktige målet om å bygge en ammoniakk-drevet brønnbåt. Søsterselskapet, HAV Hydrogen, kan være en mulig samarbeidspartner på forprosjektet.

North Salmon Service som er eid av PH Invest Herøy, Nova Sea og Salten Aqua, og opererer i dag to brønnbåter for Nova Sea, Salten Aqua og andre tilknyttede kunder.

HAV Groups datterselskap HAV Design AS er samarbeidspartner til North Salmon Service i prosjektet.
