Shareholder Concerns Regarding Executive Incentive Programs and Lack of Shareholder Value Creation

To the Board of Directors and Executive Management of Photocure ASA,
i am are writing to you as a shareholder of Photocure ASA to express my growing dissatisfaction and concern regarding the company’s ongoing remuneration practices. Specifically, i find the continuous issuance of premium incentive arrangements increasingly difficult to justify in light of the actual value created for the company’s shareholders.
My concerns are compounded by the latest stock exchange notice published on 14 July 2026, announcing the grant of 223,750 share options to employees at an exercise price of NOK 66.20. While management and staff continue to receive lucrative option packages under the long-term incentive program, the broader shareholder base has yet to see these internal rewards translate into sustained financial performance or share price appreciation.
Incentive programs are intended to align the interests of management with those of the shareholders. However, when option grants and premium arrangements become a regular occurrence while the stock price fails to reflect a corresponding growth in company value, it creates a clear disconnect. Shareholders carry the actual financial risk, yet we see our ownership diluted without receiving the returns necessary to justify these internal compensation structures.
As investors, we expect the Board and management to focus rigorously on capital allocation, operational efficiency, and tangible value creation. We urge the leadership to re-evaluate the scale and criteria of these incentive programs. Internal rewards must be strictly tied to significant, measurable milestones that directly benefit the market value of the company and its owners.
I look forward to seeing a more balanced approach to corporate governance and compensation that prioritizes the interests of the shareholders who fund the company’s operations.
