1.2.4 The Company depends on protecting its proprietary technology and intellectual property rights and third parties may claim that the Company is violating their proprietary technology and intellectual property
The Company has developed a patent portfolio which is important to its LNC solution, and overall operations and business. The success of the Company’s business depends on its ability to protect and enforce know-how, trade secrets, trademarks, copyrights, patents and other intellectual property rights.
Registration of patents provides protection of the Company’s intellectual property rights but may not always be sufficient. The Company have not registered patents in all jurisdictions in which it may seek to have business operations. Patents have a limited duration unless extensions are granted in relevant jurisdictions. The Company’s current patent registrations expires in January 2026. Further, registration of patents may not be made or granted in certain jurisdiction in which case the Company would have to rely on other measures such as competitors not having the same level of know-how to provide competitive market terms to customers. There can be made no guarantee whether any extension of patents will be granted or as to whether competitors in any jurisdiction will not be able to compete with the Company.
The Company also rely on third parties to protect its intellectual property rights. Inter alia, the Company rely on its contractual arrangements with MHI and Heart. Any failure of the licensors to protect the Company’s proprietary technology and property rights or claims that the Company is violating or infringing third party intellectual property rights could lead to a competitive disadvantage and result in a material adverse effect on the Company’s business, prospects, financial position and results of operations. Even though the Company has contractual rights to prevent such situations from occurring, the license agreement entails that the Company fully transfers and makes its intellectual property available to third parties in the Middle East. This could potentially be misused and result in IP losses that may not necessarily be rectified through the mechanisms of breach of contract in the license agreements. Consequently, and any sharing of the Company’s technology carries
an inherent risk for the Company.
The Company is aware that a third-party group having its parent entity located in India is potentially infringing its patents in Saudi Arabia, following a shipment of LNC being held back by customs in Saudi Arabia. The relevant India company has announced on its websites that they produce and sell LNC based on license from the Company. This may indicate infringement of the Company’s Indian patent but require further investigation to be validated. The Company is also aware of two Saudi initiatives - the Green Middle East and Green Saudi Arabia - the King Salman Energy Park (SPARK) that may include the use of LNC. The Company has patent registrations in India but not in Saudia Arabia. The operation and success of the Company’s activities largely depend on the Company’s ability to protect its patents from infringement. The Company is assessing the potential infringement on a continuing basis and has implemented measures for a cease & and desist order against the relevant third party. Protecting its intellectual property rights may require that the Company pursue any breach through courts in relevant jurisdictions. Such litigation may represent significant costs for the Company and divert management attention from the Company’s operations. Should the Company be unsuccessful in protecting its intellectual property rights in India, Saudi Arabia, or in any other region where an infringement is made, this could have a material adverse effect on its operations, investments made and future profitability from operations in the region."
